Dividend FAQ

Does WMG pay a quarterly dividend?
No. WMG does not currently pay a quarterly dividend. WMG announced the suspension of its quarterly dividend on May 7, 2008. The final dividend of $0.13 per share under the now discontinued policy was paid on February 29, 2008. Any future determination to pay dividends will be at the discretion of our Board of Directors and will depend on, among other things, our results of operations, cash requirements, financial condition, contractual restrictions and other factors the Board of Directors may deem relevant.

What is the U.S. federal income tax treatment for the quarterly dividend?

Warner Music Group Corp. has determined that WMG will not have current or accumulated earnings and profits for the tax year ended September 30, 2008.

Under the applicable tax laws and regulations, the distributions made by WMG during the period October 1, 2007 through September 30, 2008 must be reported as returns of capital instead of dividend distributions. WMG was not able to definitively make this determination at the time the distributions that occurred in calendar year 2007 were initially reported on Form 1099s and, therefore, was required by the applicable regulations to report distributions made during the period beginning October 1, 2007 through September 30, 2008 as dividends.

Distributions that are classified as returns of capital are nontaxable to the extent they do not exceed your cost basis in the WMG shares, or as capital gain to the extent that the amount of the distribution exceeds your cost basis in the WMG shares.


When will Form 1099s for the dividends be mailed out?
The form 1099 pertains to dividends received. Form 1099s are mailed out to registered stockholders by the end of January for the prior year. Please read your 1099 carefully. Our transfer agent, American Stock Transfer & Trust Company, administers dividend payments for WMG. Questions can be directed to them by phone at 1-800-937-5449, by fax at 718-765-8718, or on the Web at www.amstock.com or info@amstock.com,attention: Shareholder Relations. If you hold your shares through a broker, please contact them directly with any questions regarding the Form 1099.

What if I did not receive my form 1099 for tax purposes?
Depending on whether you hold our stock through a brokerage account or in your own name, you should either contact your broker or our transfer agent, American Stock Transfer & Trust Company, respectively.

How do I replace a stale, lost or stolen dividend check?
Questions regarding stale, lost or stolen dividend checks can be directed to our transfer agent, American Stock Transfer & Trust Company, attention: Shareholder Relations.

Does WMG offer a dividend reinvestment plan (DRIP)?
The company does not offer a DRIP plan at this time.
